Partner Program Agreement
Referral and affiliate partner terms: attribution, commission, conduct, and termination
Partner Program Agreement
REFERRAL AND AFFILIATE PARTNER AGREEMENT
This Agreement governs participation in the RentalTide Partner Program at partners.rentaltide.com. It covers how merchants are attributed to you, how commission is calculated and paid, what you may and may not say or do when promoting RentalTide, and what happens when the relationship ends. Commercial terms (commission rate, attribution window, payout minimum) are set out in Schedule A and may differ by partner.
This Agreement does not create a partnership, joint venture, employment relationship, or agency. Despite the word "Partner," you are an independent contractor and you have no authority to enter into any contract, commitment, or obligation on RentalTide's behalf. See Section 3.
1. Introduction and Parties
This Partner Program Agreement ("Agreement") is a binding contract between you ("Partner," "you," or "your") and RentalTide Inc., a corporation incorporated in the State of Delaware, United States ("RentalTide," "we," "us," or "our"), governing your participation in the RentalTide Partner Program (the "Program").
For the avoidance of doubt, the Delaware company is the contracting company for the Program worldwide, including for partners resident outside the United States. RentalTide's Canadian company is not a party to this Agreement and owes no obligation under it.

RentalTide Inc. Partnerships Team 1111B S Governors Ave STE 48363, Dover, DE 19904, United States Phone: (888) 709-2650 Email: partnerships@rentaltide.com
2. Acceptance and Binding Agreement
2.1 Agreement Formation
By registering for a Partner account, accessing the partner portal, using an affiliate link or referral code, or accepting any commission payment, you acknowledge that you have read, understood, and agree to be bound by:
- This Agreement and the Schedule A applicable to you
- RentalTide's general Terms of Service
- RentalTide's Privacy Policy and Acceptable Use Policy
- RentalTide's Messaging and Communications Consent terms, where you conduct any outbound marketing
2.2 Authority
You represent and warrant that you have the legal capacity and, where you register on behalf of an organization, the authority to bind that organization, and that all information provided at registration and afterwards is accurate and kept current.
2.3 Eligibility
You must be at least 18 years old, must not be a current RentalTide employee, and must not be resident in, or acting on behalf of any person in, a country or region subject to comprehensive economic sanctions administered by the United States. We may decline or revoke enrollment at our discretion.
2.4 Existing Partners
Where you enrolled in the Program before the Effective Date of this Agreement, this Agreement applies to you from the Effective Date forward. Commission already earned and unpaid as at the Effective Date remains payable on the terms under which it was earned.
3. Relationship of the Parties
3.1 Independent Contractor
You are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, franchise, employment relationship, or fiduciary relationship between you and RentalTide, notwithstanding the use of the word "Partner" to describe participants in the Program.
You control the manner, method, and hours of your own activity. You bear your own costs, supply your own equipment, and may promote other products, including products that compete with RentalTide, unless Schedule A expressly provides otherwise. That freedom is subject to Sections 10.6, 10.7, and 12: promoting a competing product never permits you to solicit RentalTide's merchants, or to use anything you obtained through the Program to do so.
3.2 No Authority to Bind
You have no authority, actual or apparent, to:
- conclude, sign, execute, or accept any contract on RentalTide's behalf;
- negotiate, vary, waive, or agree the final terms of any contract between RentalTide and a merchant, including pricing, fees, discounts, service levels, or contract length;
- make any representation, warranty, guarantee, or commitment binding on RentalTide;
- accept money, hold funds, or issue invoices or receipts on RentalTide's behalf;
- hold yourself out as an employee, officer, agent, or representative of RentalTide, or use a job title, email signature, business card, or social media profile that implies any of those things; or
- open, operate, or register any office, branch, or place of business in RentalTide's name.
Your role is limited to introducing prospective merchants to RentalTide and to promoting RentalTide in accordance with Section 10. Every merchant enters into its own agreement with RentalTide directly, on RentalTide's standard terms, through RentalTide's own signup process, and RentalTide alone decides whether to accept a merchant.
This Section 3.2 is a material term. A breach of it is a breach capable of triggering termination for cause under Section 16.3.
3.3 Taxes and Benefits
You are not entitled to any employee benefit, insurance, paid leave, pension, superannuation, or similar entitlement from RentalTide. You are solely responsible for your own taxes as set out in Section 8.
4. The Program
4.1 Enrollment and Account
Participation requires an approved Partner account at partners.rentaltide.com. You must keep your credentials confidential, must not share or transfer your account, and are responsible for all activity under it. One account per person or organization; duplicate or undisclosed linked accounts may be closed and their commission forfeited.
4.2 Program Materials
We provide affiliate links, referral codes, and marketing materials through the portal. These are licensed to you for use in the Program only, on the terms in Section 11, and remain our property.
4.3 Changes to the Program
We may change the Program, including the commercial terms in Schedule A, on thirty (30) days' written notice to the email on your Partner account. A change does not affect commission already earned before it takes effect, or commission on Attributed Merchants already enrolled, for the remainder of the Commission Term then applicable to those merchants. If you do not accept a change, your remedy is to terminate under Section 16.2.
5. Attribution of Referred Merchants
5.1 How a Merchant Is Attributed
A merchant becomes an "Attributed Merchant" of yours where:
- the merchant reaches RentalTide through your affiliate link or referral code and completes signup within the Attribution Window stated in Schedule A; or
- you submit the merchant as a lead through the portal before the merchant first contacts RentalTide, and RentalTide confirms the attribution in writing.
Attribution is recorded on the merchant's account at the time the merchant signs up and is durable. Attribution is not reconstructed after the fact.
5.2 Limits on Attribution
- A merchant may be attributed to one Partner only. Where two Partners have a claim, the earlier recorded attribution wins.
- A merchant that already holds, or within the preceding twelve (12) months held, a RentalTide account is not attributable.
- A merchant that is already in an active RentalTide sales process at the time of your introduction is not attributable, and we will tell you promptly where that is the case.
- You may not attribute yourself, an entity you control, a business you own or operate, or an immediate family member.
5.3 Attribution Disputes
Raise an attribution dispute within sixty (60) days of the merchant's signup. Our determination of attribution, made in good faith on the records held on the merchant's account, is final.
5.4 No Guarantee of Volume
We do not guarantee any level of referral volume, conversion, merchant retention, or commission. Nothing in this Agreement grants you an exclusive territory, vertical, or account list unless Schedule A expressly says so.
6. Commission
6.1 Commission Rate
Commission is calculated at the rate and on the basis set out in Schedule A, on Qualifying Revenue from your Attributed Merchants, for the Commission Term stated in Schedule A.
Where Schedule A and any other document, marketing material, portal screen, or conversation state the commission differently, Schedule A controls. No other statement of the commission, however expressed, forms part of this Agreement.
6.2 Qualifying Revenue
"Qualifying Revenue" means, as stated in Schedule A, either:
- (a) Subscription and platform revenue: amounts actually received by RentalTide from an Attributed Merchant for RentalTide subscription and platform fees; or
- (b) Gross Merchandise Value ("GMV"): the gross value of completed bookings and point of sale transactions processed by an Attributed Merchant through RentalTide.
In either case, Qualifying Revenue excludes:
- sales taxes, goods and services taxes, value added taxes, and any levy collected for remittance to a government authority;
- fuel and gas charges;
- security deposits, damage deposits, and pre-authorization holds;
- gratuities and tips;
- damage claims, incidental charges, late fees, and cleaning charges;
- purchases of gift cards and store credit, which are counted instead on redemption;
- amounts attributable to third party products where RentalTide acts only as a conduit; and
- any amount refunded, charged back, or otherwise reversed.
6.3 Recognition
Commission on GMV is earned only on completed bookings. A booking that is created and later cancelled, or that never completes, earns no commission. Commission on subscription revenue is earned when the merchant's payment is received and cleared.
6.4 Clawback
Refunds, cancellations, chargebacks, and reversals are netted against Qualifying Revenue in the statement period in which they occur, whether or not the underlying transaction fell in an earlier period. Where a period produces a negative balance, that balance carries forward and is set off against the next period. Where the relationship has ended and a negative balance remains, we may recover it from unpaid commission or invoice you for it.
6.5 Fraud and Abuse
No commission is earned on any transaction that is fraudulent, that arises from a merchant account created to generate commission, that results from a breach of Section 10, or that arises from self-referral under Section 5.2. We may withhold, reverse, or recover commission in those cases.
7. Payment
7.1 Statement
We produce a commission statement for each period, itemized by Attributed Merchant, showing gross Qualifying Revenue, each exclusion applied under Section 6.2, amounts netted under Section 6.4, and the resulting commission. The statement is available in the portal and is the record of what is owed.
7.2 Payment Terms
Commission is calculated monthly in arrears and paid on the schedule, by the method, and subject to the payout minimum stated in Schedule A. Amounts below the payout minimum roll forward until the minimum is met or the relationship ends.
Where Schedule A provides for payment by direct deposit, you must keep current and accurate bank account details on your Partner account, and you are responsible for any payment that fails or misdirects because those details are wrong. We may require verification of the account before the first payment.
7.3 Statement Disputes
Raise any dispute about a statement within sixty (60) days of it being made available. After that period the statement is final and binding, absent manifest error or fraud.
7.4 Currency and Transfer Costs
Commission is paid in the currency stated in Schedule A. Where payment is made in a currency other than the currency in which Qualifying Revenue was recorded, conversion is at the rate applied by our payment provider on the payment date. Fees charged by your own bank or wallet provider to receive funds are yours.
7.5 Unclaimed Amounts
Where we cannot pay you because your payout details are missing, incorrect, or rejected, we will hold the amount and contact you at the email on your account. Amounts unclaimed for twelve (12) months after we first attempt payment may be forfeited, subject to any applicable unclaimed property law.
8. Taxes
8.1 Your Responsibility
Commission is paid gross. You are solely responsible for determining, reporting, and paying all taxes, social contributions, and similar charges arising on your commission in every jurisdiction where you are liable, and for any registration those obligations require.
8.2 Tax Documentation
You must provide any tax documentation we reasonably request, including IRS Form W-9 where you are a United States person or Form W-8BEN or W-8BEN-E where you are not. We may withhold payment until we hold current documentation, and may withhold or deduct tax from a payment where law requires it.
8.3 Indirect Tax
Where you are registered for GST, VAT, or an equivalent indirect tax, you are responsible for determining whether your supply to RentalTide is taxable, zero rated, or exempt, and for charging and remitting correctly. Commission amounts stated in Schedule A are exclusive of any such tax.
8.4 No Advice
Nothing we say about tax is tax advice. Obtain your own.
9. Expenses
You bear your own costs of participating in the Program. We reimburse an expense only where we have agreed to it in writing in advance, and against a receipt. A reimbursed expense is not commission and is not included in Qualifying Revenue.
10. Partner Obligations and Conduct
10.1 Honest Promotion
You must describe RentalTide accurately. You must not make any performance claim, pricing claim, feature claim, guarantee, or comparative claim that we have not published or approved in writing. You must not state or imply a partnership, endorsement, certification, or affiliation beyond your participation in the Program.
10.2 Disclosure
You must clearly and conspicuously disclose your commercial relationship with RentalTide wherever you promote us, as required by the FTC Endorsement Guides, the Australian Consumer Law, the Canadian Competition Act, and equivalent rules in your jurisdiction.
10.3 Marketing Restrictions
You must not:
- bid on "RentalTide" or any RentalTide trademark, or a close variant or misspelling, in paid search, or use them in a display URL or ad copy without our prior written consent;
- register or use any domain name, social media handle, app name, or business name containing "RentalTide" or a confusingly similar term;
- send unsolicited commercial email, SMS, or automated calls, or otherwise breach the CAN-SPAM Act, CASL, the Australian Spam Act 2003, the New Zealand UEMA, the TCPA, or equivalent law;
- use cookie stuffing, forced clicks, adware, toolbars, browser extensions, typosquatting, iframes, popunders, or any method that sets attribution without a genuine, informed click;
- generate traffic by bot, incentivized click, or paid-to-click scheme;
- represent RentalTide in any tender, RFP, or procurement process;
- offer, promise, or give anything of value to secure an improper advantage, whether to a public official or anyone else; or
- promote RentalTide alongside content that is unlawful, deceptive, adult, hateful, or that infringes a third party's rights.
10.4 Merchant Data
Where you receive personal information about a prospective or actual merchant, or about that merchant's customers, you must use it only to perform under this Agreement, protect it appropriately, and comply with applicable data protection law. You must not sell it, use it for your own marketing beyond the referral, or retain it after this Agreement ends except where law requires.
10.5 Cooperation
You must promptly forward any merchant complaint, regulatory inquiry, or legal notice that concerns RentalTide, and must not respond to it on our behalf.
10.6 Non-Solicitation of Merchants
During the term of this Agreement and for twelve (12) months after it ends, you must not, directly or through anyone else:
- solicit, induce, or encourage any Merchant to stop using RentalTide, to reduce or downgrade its use of RentalTide, or to move any part of its business to a Competing Platform;
- offer, sell, or provide a Competing Platform to any Attributed Merchant, or to any other Merchant you first came to know through the Program; or
- use any access to a Merchant's RentalTide account, including access a Merchant grants you through the partner portal, or any information you obtained through the Program, to export a Merchant's data to, or move a Merchant onto, a Competing Platform.
In this Section, "Merchant" means any business that holds a RentalTide account at any time during the term of this Agreement, and "Competing Platform" means any booking, reservation, rental management, point of sale, or payment software or service with functionality substantially similar to RentalTide's, including one that you or your affiliates own, operate, work for, or are paid to promote.
General advertising that is not directed at Merchants, such as a public website or a trade show stand, is not solicitation under this Section. Nor is continuing to serve a business that was already your customer before you first came to know it through the Program, provided you do not encourage it to stop using RentalTide.
Where you breach this Section, in addition to our rights under Section 16.3: no commission is earned on any Merchant affected by the breach from the date of the breach; we may recover commission paid on that Merchant in the twelve (12) months before the breach; and, because damages alone would not be an adequate remedy, we may seek injunctive relief.
This Section 10.6 is a material term.
10.7 Competing Interests
You must tell us in writing at partnerships@rentaltide.com, when you enroll and promptly whenever it changes, if you or any of your affiliates owns, operates, works for, or is paid to promote a Competing Platform (as defined in Section 10.6). We may on that basis decline or revoke enrollment under Section 2.3, or offer participation only on an individually negotiated Schedule A. Failing to disclose a competing interest is a breach of this Section 10.
11. Trademark and Brand Licence
11.1 Limited Licence
We grant you a non-exclusive, non-transferable, revocable, royalty free licence to use the RentalTide name, logo, and approved marketing materials solely to promote RentalTide under this Agreement, in accordance with our brand guidelines as published from time to time.
11.2 Reservation
All goodwill from your use accrues to us. You acquire no right in our marks. You must not modify our marks, use them in a way that dilutes or disparages them, or register anything confusingly similar. The licence ends immediately on termination, and you must remove our marks from your materials within ten (10) business days.
11.3 Your Marks
You grant us a non-exclusive, royalty free licence to use your name and logo to identify you as a participant in the Program. Tell us if you would prefer we did not, and we will stop.
12. Confidentiality
Each party may receive information of the other that is marked confidential or that a reasonable person would understand to be confidential, including merchant lists, pricing not published, product roadmaps, commission terms in Schedule A, and Program performance data.
You must keep our confidential information confidential, use it only for the Program, and protect it with at least reasonable care. The obligation does not apply to information that is public through no fault of yours, that you already held without duty of confidence, or that you develop independently. Where disclosure is compelled by law, give us notice first where you lawfully can.
This Section survives termination for three (3) years, and indefinitely for anything that is a trade secret.
13. Data Protection
Each party complies with the data protection law applicable to it. Where you process personal data on our behalf, you do so only on our documented instructions, and our Data Processing Agreement applies. Where you determine your own purposes for personal data you collect, you are an independent controller and are responsible for your own lawful basis, notices, and data subject requests. Report any suspected personal data breach affecting RentalTide data to security@rentaltide.com without undue delay and in any event within seventy-two (72) hours.
14. Compliance with Law
You must comply with all law applicable to your activity under this Agreement, including anti-bribery and anti-corruption law (the US Foreign Corrupt Practices Act, the UK Bribery Act, the Canadian CFPOA, and equivalents), economic sanctions and export control law, anti-money laundering law, consumer protection law, and advertising and marketing law. You must not use the Program to facilitate any breach of those laws by anyone.
15. Intellectual Property
RentalTide owns the platform, the Program materials, and all intellectual property in them. Nothing in this Agreement transfers any of it. Where you create material that incorporates our intellectual property, you assign to us any right you may acquire in the incorporated portion, and retain your own underlying material. You must not reverse engineer, resell, sublicense, or create a derivative of the platform.
16. Term and Termination
16.1 Term
This Agreement starts when you accept it under Section 2.1 and continues until terminated.
16.2 Termination for Convenience
Either party may terminate on thirty (30) days' written notice, for any reason or none.
16.3 Termination for Cause
We may terminate immediately, without notice, where you:
- breach Section 3.2 (no authority to bind), Section 10 (conduct), Section 12 (confidentiality), or Section 14 (compliance with law);
- engage in fraud, misrepresentation, or generation of artificial referrals;
- become insolvent, enter administration or bankruptcy, or cease to carry on business; or
- do anything that in our reasonable judgment brings RentalTide into material disrepute.
16.4 Effect of Termination
On termination:
- your licences under Sections 11.1 and 4.2 end, and you must stop using our marks and materials and disable your affiliate links;
- commission earned before the termination date remains payable, subject to Section 6.4 and Section 16.5, and is paid on the next ordinary payment date after the applicable payout minimum is met;
- unless Schedule A expressly provides a post-termination tail, no commission accrues on Qualifying Revenue arising after the termination date, including revenue from Attributed Merchants that remain RentalTide customers; and
- a refund, chargeback, or reversal occurring after termination that relates to commission already paid remains recoverable under Section 6.4 for twelve (12) months.
16.5 Forfeiture on Termination for Cause
Where we terminate under Section 16.3, all unpaid commission is forfeited, any post-termination tail in Schedule A ends immediately, and we may recover commission paid in respect of the conduct giving rise to the termination.
16.6 Survival
Sections 3, 6.4, 6.5, 8, 10.4, 10.6, 11.2, 12, 13, 15, 16.4, 16.5, 17, 18, and 19 survive termination.
17. Assignment and Change of Control
17.1 By You
You may not assign, novate, subcontract, or otherwise transfer this Agreement or any right under it, including any right to future commission, without our prior written consent. Any purported transfer without consent is void. This restriction applies to a transfer by operation of law, to a transfer on your own change of control, and to the grant of any security interest over commission.
17.2 By Us
We may assign or novate this Agreement, in whole or in part, to an affiliate or to a successor in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, on notice to you. Where Schedule A provides a post-termination tail, that tail binds the successor.
17.3 Change of Control
Where RentalTide undergoes a change of control, we may on sixty (60) days' written notice terminate any post-termination tail in Schedule A on payment to you of an amount equal to the commission paid to you under that tail over the preceding twelve (12) months, or, where the tail has been running for less than twelve months, the annualized equivalent.
18. Warranties, Liability, and Indemnity
18.1 Disclaimer
The Program and all Program materials are provided "as is." To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the portal, tracking, or reporting will be uninterrupted or error free.
18.2 Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or anticipated savings, however arising.
Our total aggregate liability arising out of or in connection with this Agreement is limited to the total commission paid to you in the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in this Section limits liability that cannot lawfully be limited, including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence.
18.3 Indemnity
You will indemnify and hold harmless RentalTide, its affiliates, and their officers, directors, and employees from any claim, loss, liability, and reasonable legal cost arising from your breach of this Agreement, your marketing or statements about RentalTide, your breach of Section 3.2, your handling of personal data, or your breach of any law.
18.4 Tax and Establishment
Where your conduct in breach of Section 3.2 causes RentalTide to incur a tax liability, registration obligation, penalty, or professional cost in your jurisdiction that it would not otherwise have incurred, that cost falls within the indemnity in Section 18.3.
19. General
19.1 Governing Law
This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Where the law of your own jurisdiction confers a right on you that cannot be excluded by agreement, nothing in this Agreement excludes it.
19.2 Disputes
The parties will first attempt in good faith to resolve any dispute by negotiation for thirty (30) days. Failing that, the state and federal courts located in the State of Delaware have exclusive jurisdiction, and each party submits to that jurisdiction and waives any objection based on venue or forum. Either party may bring a claim in a small claims court of competent jurisdiction, and either party may seek injunctive relief in any court to protect its intellectual property or confidential information, or to enforce Section 10.6.
19.3 Notices
Notices to you go to the email address on your Partner account. Notices to us go to legal@rentaltide.com with a copy to the postal address in Section 1. Email notice is effective on the next business day after sending.
19.4 Amendment
We may amend this Agreement on thirty (30) days' notice under Section 4.3. Your continued participation after the notice period is acceptance. No other variation is effective unless in writing and signed by both parties.
19.5 Entire Agreement
This Agreement, with the Schedule A applicable to you and the policies it incorporates, is the entire agreement between the parties on this subject and supersedes all prior discussion, proposal, and representation, whether oral or written. Neither party relies on any statement not set out in it.
19.6 Severability, Waiver, Force Majeure
Where any provision is held unenforceable, the rest continues in effect and the provision is modified to the least extent necessary to make it enforceable. A failure to enforce is not a waiver. Neither party is liable for a delay caused by an event beyond its reasonable control, other than an obligation to pay money.
19.7 Counterparts and Electronic Acceptance
Acceptance through the partner portal has the same effect as a signed counterpart.

Schedule A: Standard Program Terms
This Schedule A applies to every Partner in the standard referral and affiliate Program. A Partner who has signed an individually negotiated Schedule A is governed by that document instead, and where it conflicts with this one, the individually negotiated Schedule A controls.
| Term | Value |
|---|---|
| Commission basis | Qualifying Revenue, limb (a): subscription and platform revenue |
| Commission rate | 20% of Qualifying Revenue |
| Commission Term | 24 months from the Attributed Merchant's first payment, extendable (see below) |
| Attribution Window | 30 days from first click on your affiliate link or use of your referral code |
| Calculation period | Monthly, in arrears |
| Payout minimum | USD 100 |
| Payment method | Direct deposit to the bank account on your Partner account |
| Payment currency | USD |
| Payment timing | Within 10 business days of the end of the calculation period |
| Post-termination tail | None. Section 16.4 applies |
| Exclusivity | None. No territory, vertical, or account list is reserved |
Notes on this Schedule
- The Commission Term runs per Attributed Merchant, not per Partner. A merchant referred in month 30 of your participation still earns you 24 months of commission from that merchant's first payment.
- Staying active extends the term. On each anniversary of an Attributed Merchant's Commission Term, that term is extended by a further 12 months, provided that in the preceding 12 months at least one new merchant you referred became a paying RentalTide customer. The extension repeats for as long as that condition keeps being met, so an active Partner never loses a merchant to the clock. A term that has already lapsed is not revived, and the extension does not survive the end of this Agreement: from the termination date, Section 16.4 governs.
- The exclusions in Section 6.2 apply to limb (a) as well as limb (b). Commission is calculated on subscription and platform fees actually received, net of tax and net of anything refunded.
- Where a merchant downgrades, cancels, or fails to pay, commission follows the revenue actually received.
Last Updated: October 27, 2026 Effective Date: October 27, 2026. For a Partner who accepted Version 1.0, this version takes effect when accepted in the partner portal, or thirty (30) days after notice under Section 19.4, whichever is earlier. Version: 1.1
Important: This Agreement supplements and incorporates by reference our general Terms of Service. In case of conflict, this Agreement controls for Program matters, and Schedule A controls over both for commercial terms.
